These Terms of Service ("Terms") govern the use of automated communication services provided by Rhoe AI ("we," "us," "our") to local service businesses ("Clients") and describe the terms under which messages are sent to Clients' customers ("Recipients"). By using our services or receiving messages sent through our platform, you agree to these Terms.

1. Description of Service

Rhoe AI provides automated SMS messaging services on behalf of Clients, including but not limited to:

  • Missed-call text-back responses
  • Appointment reminders
  • Follow-up messaging sequences
  • Review request messages

These services are delivered via SMS to phone numbers that have contacted a Client business by phone or text.

2. SMS Terms

  • Consent: Recipients consent to receive automated SMS messages by calling or texting a Client's business phone number.
  • Message frequency: Varies depending on the nature of the interaction (e.g., a single missed-call reply, or a multi-step follow-up sequence).
  • Message and data rates may apply.
  • Opt-out: Recipients may opt out at any time by replying STOP. Recipients may reply HELP for assistance.
  • Supported carriers: Our service is intended to work with major US wireless carriers. We are not liable for undelivered messages due to carrier restrictions or recipient device issues.

3. Client Responsibilities

Clients using our platform agree to:

  • Only use the service to message individuals who have a reasonable expectation of contact (e.g., customers who called or texted the Client's business).
  • Not use the service to send unsolicited marketing messages to individuals who have not initiated contact.
  • Provide accurate business information for telecommunications compliance (A2P 10DLC) registration purposes.
  • Comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act where applicable.

4. Acceptable Use

You may not use our service to:

  • Send illegal, harassing, threatening, or fraudulent content.
  • Send messages to individuals who have opted out or requested no further contact.
  • Impersonate another person or business.
  • Interfere with or disrupt the platform's operation.

We reserve the right to suspend or terminate service to any Client that violates these Terms or applicable telecommunications regulations.

5. No Guarantee of Delivery

While we take reasonable steps to ensure message delivery, SMS delivery is dependent on third-party carriers and is not guaranteed. We are not responsible for delays, non-delivery, or failures caused by carrier networks, recipient device settings, or circumstances outside our control.

6. Limitation of Liability

To the fullest extent permitted by law, Rhoe AI shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of, or inability to use, our services, including but not limited to lost business, lost messages, or lost revenue.

7. Termination

We may suspend or terminate access to our services at any time, with or without notice, for violation of these Terms or for any other reason at our discretion.

8. Changes to These Terms

We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.

9. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
